Terms & Conditions Agreement

By subscribing to or availing the research services, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions. The Research Analyst provides services in accordance with the SEBI (Research Analyst) Regulations, 2014 and applicable regulatory guidelines.

1. Research Analyst Details

2. Availing Research Services

• The Client voluntarily subscribes to research services at their sole discretion.
• Research services are provided strictly in accordance with applicable SEBI regulations.
• The Research Analyst provides research recommendations only and does not execute trades on behalf of clients.

3. Client Information & KYC

• Clients must provide complete and accurate information along with supporting documents as required.
• KYC details may be verified and maintained through SEBI-recognized KYC Registration Agencies (KRA).
• Clients are responsible for keeping their contact information updated at all times.

4. Fees & Payment Terms

• Fees shall be paid through approved banking channels such as bank transfer, UPI, cheque, or other permitted modes.
• Cash payments are strictly prohibited.
• Fees may be collected in advance, subject to applicable SEBI regulations.
• Clients may also make payments through the Centralized Fee Collection Mechanism (CeFCoM), if applicable.

5. Risk Disclosure

• Investments in securities are subject to market risks, including the risk of capital loss.
• Market conditions, economic developments, interest rates, political events, and regulatory changes may impact investment performance.
• Past performance is not indicative of future results.
• Clients should assess their financial objectives and risk tolerance before making investment decisions.

6. Conflict of Interest

The Research Analyst shall comply with all SEBI regulations relating to disclosure and mitigation of actual or potential conflicts of interest and shall endeavor to maintain independence and objectivity in research activities.

7. Termination & Refund Policy

• Research services may be suspended or terminated in accordance with SEBI regulations.
• In the event of suspension or cancellation of registration, clients may be eligible for a pro-rata refund of unexpired fees.
• Refunds shall be processed as per applicable regulatory requirements.

8. Grievance Redressal

Clients may raise grievances regarding research services through the designated grievance redressal mechanism.

• Grievances shall be addressed within 7 business working days wherever possible.
• All grievances shall be resolved within 21 calendar days as prescribed under SEBI regulations.
• Unresolved complaints may be escalated through SCORES or the SMART ODR platform.

9. Indemnity

The Client agrees to indemnify and hold harmless the Research Analyst against losses, claims, liabilities, damages, or expenses arising from misuse of services, negligence, misconduct, or breach of these Terms and Conditions.

10. Representations & Warranties

• The Client confirms having the legal capacity and authority to enter into this Agreement.
• The Client acknowledges understanding the risks associated with investing and research services.
• The Research Analyst confirms compliance with qualification, certification, and registration requirements under SEBI regulations.
• Research recommendations are based on independent analysis and are not influenced by commissions, brokerage, gifts, or incentives.

11. Most Important Terms & Conditions (MITC)

• The Research Analyst cannot execute trades on behalf of clients.
• No assured, guaranteed, or fixed-return schemes are offered.
• Research recommendations do not guarantee profits, returns, or risk-free investments.
• Investment decisions are solely the responsibility of the Client.
• There is no recourse to claim losses incurred from investments made based on research recommendations.
• SEBI registration, BSE enlistment, or NISM certification does not guarantee performance or returns.

12. Client Responsibilities

• Maintain updated email addresses and mobile numbers with the Research Analyst.
• Never share trading account credentials, demat account details, bank passwords, or OTPs with anyone.
• Review all reports and disclosures carefully before making investment decisions.
• Exercise independent judgment before acting on any recommendation.

13. Intellectual Property Rights

All research reports, recommendations, analyses, data, and related materials provided by the Research Analyst remain the intellectual property of the Research Analyst and may not be copied, reproduced, distributed, or shared without prior written permission.

14. Governing Law & Jurisdiction

This Agreement shall be governed by the laws of India. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Tamil Nadu, India.
